A vendor contract obligation review checklist

Vendor agreements often spread operational duties across the main agreement, schedules and orders. A useful review connects each candidate obligation to its source and the person who can act on it.

Build the document set

List the agreement, applicable orders, schedules and amendments. Record which versions you reviewed and which documents are missing. A summary of the main agreement cannot establish obligations contained only in an unavailable schedule.

Review the recurring commercial checkpoints

Look for term and renewal provisions, invoicing and payment terms, fee review language, reporting requirements and any scheduled reviews. For each, retain the conditions that determine whether it applies.

Keep event-triggered work visible

Some actions depend on a request, an incident, termination or another event. Store the trigger and timing rule even when there is no calendar date yet. Keep return, destruction and certification duties separate where their conditions differ.

Assign owners and resolve uncertainty

Record the responsible party from the agreement and an internal reviewer separately. Ask the reviewer to confirm the full source wording, missing dates and exceptions. Keep uncertain items open instead of treating a generated summary as final.

See the workflow in DueSight

DueSight helps reviewers check candidate renewal, notice and payment obligations beside source excerpts, confirm dates and conditions, and export confirmed items. Start with the fictional demo—no account or contract upload needed.

Real-document access is an invitation-only assisted beta, initially scoped to one readable-text PDF of up to four pages. Scope and any fee are agreed before access. Results may be incomplete or wrong and require human review. Automatic reminders are not available.
